TERMS AND CONDITIONS
This document describes the terms on which 12doc (hereinafter "12docs" or "Service Provider”) will provide and bill you (“Client”) for its services:
ACKNOWLEDGEMENT AND ACCEPTANCE By accessing and utilizing 12docs, the Client hereby acknowledges and affirms to be legally bound by this Terms and Conditions. It is imperative to understand that if the Client disagrees with any aspect of these Terms and Conditions, he should refrain from accessing or using 12docs in any manner.
  1. Scope. The Service Provider agrees to provide the Client with Agreement review services, conducted by the 12docs team of legal and paralegal, upon request by the Client. The Service Provider’s engagement is limited to one-time written provision of comments to the Agreement submitted by the Client identifying and discussing potential concerns. It should be clarified that Service Provider is not acting as an attorney and is not legally representing the Client under any circumstances. It is understood that the Client will not be relying on the Service Provider for business, investment, or accounting advice, nor to assess the character or creditworthiness of persons or entities with whom the Client may deal. Consequently, 12docs does not bear any liability for the final outcome of any agreement reviewed through our services. The information and services provided by 12docs are intended solely for informational and review purposes. It is important to understand that the review, materials and feedback offered by 12docs are not suitable for use as legal evidence in any court or legal proceedings.
  2. Usage of translation tools. In certain instances where language barriers exist, to facilitate the review process, 12docs may opt to use automated translation tools. The Client acknowledges that while 12docs strives for accuracy, it cannot guarantee the complete precision of such translations. The Client is to exercise caution and clarify any uncertainties arising from translated content.
  3. Consideration. The rates provided in the individual quotation sent to Client's email address upon submitting the form on the Service Provider's website are based on the amount of words in the Agreement to be reviewed which is the principal basis for billing for Service Provider services. Payment shall be made by the Client in full as per instructions provided in the email, correct receival of such payment by the Service Provider shall commence the beginning of the term outlined in writing by the Service Provider for the performance of the review.
  4. Confidentiality. Personal data and Agreements shared with the Service Provider by the Client are considered confidential, shall be used exclusively for the purposes of executing the review, and shall be destroyed within 30 days from the completion of the review, subject to all applicable laws. The Client understands that under certain circumstances, the law may impose upon the Service Provider a duty to disclose such information to government authorities or others, for example Service Provider's auditors.
  5. Understandings. Any discussions the Service Provider has in writing with the Client in this regard are limited by the Service Provider’s knowledge at the time based only on the written Agreement provided by the Client. The Client acknowledges that it has been given a reasonable opportunity to seek the advice of independent counsel of its choice with respect to any matter. By engaging with the services provided by 12docs, the Client explicitly agrees that neither 12docs, nor its directors, shareholders, contractors or officers will bear any liability for losses, damages, or unfavorable outcomes resulting from the use of 12docs platform. The Client is advised to review and understand the Terms and Conditions thoroughly before proceeding with any services offered by 12docs.
The Client also understands that the Service Provider may not have an expert admitted to practice in some of the jurisdictions and may not have sufficient expertise in the specific legislation of those jurisdictions. Accordingly, the Client will rely on local counsel, in addition to the Service Provider's position, regarding the application, interpretation and enforcement of those laws.
  1. Terms and Conditions governing the use of 12docs are subject to periodic modifications or revisions solely at 12docs discretion. It is the Client's responsibility to stay informed about any changes in the Terms and Conditions by periodically reviewing this section.
